1. Introduction and Acceptance of Terms

Welcome to Cody's Transportation Services. By accessing our website at codystransport.com, requesting a quote, or engaging our transportation services, you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our services.

These Terms apply to all services provided by Cody's Transportation Systems, LLC, Cody's Logistical Systems, LLC, and Cody's International, LLC (collectively referred to as "Cody's," "we," "us," or "our"), including but not limited to:

  • Heavy Haul Services (loads over 18,000 lbs)
  • Hot-Shot Services (loads up to 18,000 lbs)
  • Logistics and Brokerage Services

2. Services Overview

2.1 Heavy Haul Services

Cody's Logistical Systems, LLC provides asset-based heavy haul transportation services for loads exceeding 18,000 lbs. We operate as a licensed motor carrier under the Federal Motor Carrier Safety Administration (FMCSA) for intrastate and interstate commerce.

2.2 Hot-Shot Services

Cody's Transportation Systems, LLC offers expedited hot-shot transportation services for time-sensitive loads up to 18,000 lbs, utilizing pickups, flatbeds, and trailers.

2.3 Logistics and Brokerage Services

Cody's International, LLC operates as a licensed transportation broker, arranging freight transportation through qualified third-party carriers for specialized or oversized loads.

3. Service Agreements

3.1 Formal Contracts

For ongoing business relationships, customers will be required to execute a formal Transportation Agreement specific to the service type required. These agreements contain detailed terms regarding liability, insurance, payment, and other essential provisions.

3.2 Non-Exclusivity

Our services are provided on a non-exclusive basis. We reserve the right to provide services to other customers, and you are free to engage other transportation providers for your needs.

3.3 No Minimum Commitment

Unless otherwise specified in a formal written agreement, you are not obligated to purchase any minimum amount of services, and we are not required to accept any minimum amount of freight.

4. Quotes and Pricing

4.1 Quote Requests

Quotes provided through our website or by our representatives are estimates only and may be subject to change based on:

  • Actual freight dimensions, weight, and characteristics
  • Delivery location accessibility
  • Special handling requirements
  • Permit requirements
  • Market conditions

4.2 Pricing Adjustments

Final pricing may differ from initial quotes if freight specifications provided are inaccurate or if circumstances change. We will notify you of any price adjustments before proceeding with service.

4.3 Payment Terms

Standard payment terms are Net 30 days from invoice date unless otherwise agreed in writing. Late payments are subject to interest charges of 1% per month (12% per annum) on balances 30 or more days past due.

5. Customer Responsibilities

When engaging our services, you agree to:

5.1 Accurate Information

  • Provide accurate and complete information regarding freight dimensions, weight, quantity, and nature
  • Specify all special handling requirements
  • Provide complete and accurate delivery instructions
  • Immediately notify us if freight contains hazardous materials

5.2 Freight Preparation

  • Properly pack, mark, and secure all freight
  • Provide appropriate shipping documentation
  • Ensure freight is ready for pickup at scheduled times

5.3 Hazardous Materials Compliance

Comply with all applicable laws and regulations relating to hazardous materials transportation (49 CFR §172.800, §397, §173 et seq.) and provide immediate notification if shipments contain hazardous materials.

5.4 Legal Compliance

Ensure that all freight tendered for transportation complies with all applicable federal, state, and local laws and regulations.

6. Insurance and Liability

6.1 Cargo Insurance Coverage

  • Standard cargo coverage: $100,000 per shipment
  • For loads valued over $100,000, advance written notice is required to arrange increased coverage
  • Failure to provide advance notice will result in coverage limited to $100,000 maximum

6.2 Liability Limitations

  • For carrier services: Liability shall not exceed the lesser of $2.00-$25.00 per pound or $100,000 per shipment (depending on service type)
  • For broker services: Liability for freight claims is limited as specified in 49 USC Section 14706 and 49 CFR Part 370

6.3 Excluded Losses

We are not liable for loss or damage resulting from:

  • Force majeure events
  • Acts or defaults of the customer
  • Inherent vice or nature of the freight
  • Delays in delivery (estimates only, not guaranteed)

7. Claims Procedures

7.1 Filing Requirements

Freight loss or damage claims must be:

  • Filed in writing within 9 months from delivery date (or scheduled delivery date for non-delivery)
  • Legal action must be filed within 2 years and 1 day from the date any part of the claim is disallowed

7.2 Claims Process

We will provide reasonable assistance in filing and processing claims. For broker services, claims are primarily against the applicable carrier.

8. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Cody's Transportation Services or its licensors and is protected by copyright, trademark, and other intellectual property laws.

8.1 Permitted Use

You may view and download content for personal, non-commercial use only. You may not:

  • Modify, reproduce, or distribute content without written permission
  • Use our logos or trademarks without authorization
  • Scrape or data mine our website

9. Privacy and Data Protection

9.1 Information Collection

We collect information necessary to provide transportation services, including business contact details, shipping information, and payment information.

9.2 Recorded Communications

All telephone calls, virtual meetings, and other communications may be recorded for quality assurance and training purposes. By contacting us, you consent to such recording.

9.3 Data Use

Information collected is used solely for providing services, processing payments, and improving our operations. We do not sell your information to third parties.

10. Confidentiality

Any non-public business information, pricing, or proprietary information shared between parties shall be kept confidential for a period of two (2) years and used only for the purposes of providing or receiving services.

11. Disclaimers and Warranties

11.1 Service Warranty

We warrant that our services will be performed using qualified personnel in a professional and workmanlike manner consistent with industry standards.

11.2 DISCLAIMER OF OTHER WARRANTIES

EXCEPT AS EXPRESSLY STATED HEREIN, WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.3 Website Availability

While we strive to maintain website availability, we do not guarantee uninterrupted access and are not liable for any downtime or technical issues.

12. Limitation of Liability

12.1 Consequential Damages

IN NO EVENT SHALL WE BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, LOST PROFITS, OR REVENUES ARISING FROM USE OF OUR SERVICES OR WEBSITE.

12.2 Maximum Liability

Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim or the value of our applicable insurance policy, whichever is less.

13. Dispute Resolution

13.1 Arbitration

Any disputes arising under these Terms shall be resolved through binding arbitration in Baton Rouge, Louisiana, under the Commercial Arbitration Rules of the American Arbitration Association.

13.2 Waiver of Jury Trial

You waive any right to trial by jury for disputes arising from these Terms.

13.3 Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict of law provisions.

14. Force Majeure

We shall not be liable for failure to perform due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, government actions, epidemics, labor disputes, or equipment failures.

15. Independent Contractor Relationship

15.1 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Cody's Transportation Services.

15.2 Contract Drivers

We may utilize independent contract drivers to perform services. Such drivers are independent contractors and not our employees or agents.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this website with an updated effective date. Continued use of our services after changes constitutes acceptance of modified Terms.

17. Termination

We reserve the right to refuse or terminate service at our discretion, including for:

  • Non-payment
  • Violation of these Terms
  • Providing false or misleading information
  • Requesting services that would violate applicable laws

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with any formal Transportation Agreement executed between parties, constitute the entire agreement regarding use of our website and services.
